中國上海2013年12月11日電 /美通社/ -- 巨人網(wǎng)絡(luò)集團有限公司（紐交所交易代碼：GA）（以下稱“巨人”或“公司”），是一家中國領(lǐng)先的網(wǎng)絡(luò)游戲開發(fā)商和運營商。今天宣布由三位獨立董事Peter Andrew Schloss先生、閻焱先生以及江南春先生組成的特別委員會已聘任Morgan Stanley Asia Limited和Duff & Phelps Securities, LLC作為其財務(wù)顧問，以評估公司董事會在2013年11月25日收到的來自公司董事會主席史玉柱先生及其附屬實體公司，還有霸菱亞洲投資（Baring Private Equity Asia）（以下稱“霸菱”）的一個附屬公司提出的非約束性私有化要約（以下稱“要約”）。

如此前已宣布的，要約來自史總、霸菱以及其他可能加入的實體（如有的話）組成的買方財團。買方財團計劃以每股普通股或每股美國存托股（公司每一存托股代表一股普通股）11.75美元的價格現(xiàn)金收購公司所有發(fā)行在外的普通股，包括公司存托股所代表的普通股。

特別委員會對完成該交易或其他交易提議（如有的話）的評估并無確切時間表，除非達成協(xié)議并不計劃宣布相關(guān)進展。目前無法保證將會形成任何最終要約，或就該交易簽署任何最終協(xié)議，或該交易或任何其他交易會被批準完成。
